The Managing Partner of Progressive Legal Atanas Petrov published his first book

December 2018

The Managing Partner of Progressive Legal, Atanas Petrov, published his first book, “Contributions in Kind to Capital Companies”, dedicated to the legal and practical aspects of non-cash capital contributions in corporate law.

The contribution of capital to commercial companies, particularly through contributions in kind, is associated with a number of complex legal and practical issues that continue to raise significant theoretical and applied questions in corporate and commercial law. These issues concern, among others, the legal nature of contributions in kind, their admissible subject matter and composition, the formal requirements for their validity, their legal effects, as well as the consequences arising from defective or invalid contributions.

The present study examines these questions in depth and seeks to provide systematic and practical answers based on the achievements of legal doctrine, comparative legal analysis, judicial practice, and the evolving needs of modern business transactions. Particular attention is devoted to the relationship between capital formation and creditor protection, the role of valuation procedures, the transfer of rights as part of the contribution process, and the interaction between company law and property law principles.

The book further explores the procedural and substantive aspects of incorporating assets into the capital of limited liability companies and joint-stock companies, including issues related to registration before the commercial register, the legal consequences of irregular contributions, and the potential invalidity of corporate acts connected with improperly executed capital contributions. The study also addresses practical difficulties arising in transactions involving intellectual property rights, receivables, enterprises, securities, and other non-cash assets contributed to company capital.

In addition to its academic value, the publication is intended as a practical guide for legal practitioners, including attorneys, judges, notaries, in-house counsel, accountants, and business consultants, by presenting solutions to some of the most common and challenging problems encountered in practice. The work discusses real-life transactional scenarios and analyses the relevant judicial and administrative practice, making it particularly useful for professionals involved in corporate structuring, mergers and acquisitions, investment projects, and company reorganisations.

The study is equally suitable for students and researchers in the field of Commercial Law who are interested in exploring the conceptual and practical challenges surrounding fundamental legal institutions such as company capital, constituent transactions, corporate governance, commercial registration, invalidity of incorporated companies, and the protection of shareholders and creditors. By combining theoretical analysis with practical application, the book aims to contribute to a deeper understanding of one of the most important mechanisms for financing and structuring modern business entities.
